Ample Terms of Use

Welcome to Ample! These Terms of Use ("Terms") govern your use of the Ample platform, mobile application, and services (collectively, "Services") provided by Ample Inc. ("Ample," "we," "us," or "our"). By creating an account and using our Services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Services, you agree to comply with these Terms and all applicable laws. If you do not agree with any part of these Terms, you must not use the Services.

2. Account Creation and Responsibilities

To use certain features of the Services, you must create an account. You can create an account using your email address or phone number. You are responsible for maintaining the confidentiality of your account login information and for any activities or actions that occur under your account. If you suspect unauthorized access to your account, you must notify us immediately.

You agree to:

When using Ample, you agree to:

• Not engage in spamming, phishing, or other disruptive behaviors.
• Not upload, post, or share any content that is defamatory, offensive, discriminatory, or otherwise inappropriate.
• Not attempt to access, hack, or interfere with the security and proper functioning of the Services.

Ample reserves the right to suspend or terminate your account if we determine that you have violated these Terms or engaged in unlawful or harmful conduct.

5. Content Ownership and License

• User Content: By submitting, posting, or sharing content on Ample, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, modify, and distribute your content in connection with providing and promoting the Services. You retain ownership of your content, but you grant Ample the above rights to it.
• Ample Content: All content provided by Ample, including but not limited to logos, designs, text, graphics, images, and software, is the intellectual property of Ample and is protected by applicable copyright and trademark laws. You may not use or reproduce our content without our written consent.

6. Privacy and Data Collection

Your privacy is important to us. We collect, use, and store your personal information as outlined in our Privacy Policy. By using our Services, you agree to the terms of our Privacy Policy.

7. Payment Terms

Certain features of Ample may require payment of fees. If you purchase any paid features, you agree to provide accurate billing information and pay all applicable charges and fees. Payment terms, including prices and billing cycles, will be provided at the time of purchase.

8. Disclaimer of Warranties

Ample provides the Services on an "as is" and "as available" basis. To the fullest extent permitted by law, Ample disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be error-free, secure, or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by law, Ample and its directors, employees, partners, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, resulting from:

• Your use or inability to use the Services.
• Any unauthorized access to or use of our servers and/or personal information stored therein.
• Any interruption or cessation of Services. In no event shall Ample's total liability to you exceed the amount you paid, if any, for using the Services.

10. Indemnification

You agree to indemnify and hold Ample harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Changes to Terms

Ample reserves the right to modify or update these Terms at any time. If we make material changes, we will notify you through the Services or via email. By continuing to use the Services after changes become effective, you agree to the revised Terms.

12. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Ontario.

13. Termination of Service

Ample may terminate or suspend your access to the Services at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Services will immediately cease.

You may also terminate your account at any time by contacting us at ample.innovations.inc@gmail.com. However, terminating your account does not relieve you of your obligation to pay any outstanding fees.

14. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Ample regarding the use of the Services.
• Waiver: Failure by Ample to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
